What is the appointment of director in the company?
According to section 149 of the Companies Act, only an individual person can be selected as a member in board of directors. Normally, the selecting decision of directors is taken by the shareholders.
As a company is an artificial legal individual that is created through law, the company can act only through the company of natural people. The administrators can best act through people and the directors via whom the company mainly acts. The Board of directors is that frame of individuals on which the control of an enterprise is entrusted.
A new Director of the company can be appointed through the Board of Director by passing a normal resolution in an Extraordinary General Conference or an Annual General Meeting. It is compulsory for any individual who is to be included as a director of the firm for the first time to get DIN (Director Identification Number) allotted by the Ministry of Corporate affairs after depositing all required papers.
